I. B2B ONLINE SHOP TERMS AND CONDITIONS<\/strong><\/p>\n\n\n\n

\u00a71. General Provisions<\/strong><\/p>\n\n\n\n

  1. These Terms and Conditions govern the use of the B2B online shop available at stalco.be (hereinafter: the “Shop”).<\/li>\n\n\n\n
  2. The owner and operator of the Shop is:<\/li>\n<\/ol>\n\n\n\n

    1. The Shop operates exclusively in a B2B (business-to-business) model and is available only to registered business partners with a signed cooperation agreement.<\/li>\n\n\n\n
    2. Use of the Shop constitutes acceptance of these Terms and Conditions.<\/li>\n<\/ol>\n\n\n\n

      \u00a72. Registration and Verification of B2B Partners<\/strong><\/p>\n\n\n\n

        \n
      1. Access to the Shop requires registration of a B2B account and execution of a written cooperation agreement with the Operator.<\/li>\n\n\n\n
      2. To register, the Partner should:<\/li>\n<\/ol>\n\n\n\n
          \n
        • Complete the registration form with company details<\/li>\n\n\n\n
        • Provide required documents (company extract, VAT certificate)<\/li>\n\n\n\n
        • Sign the B2B cooperation agreement<\/li>\n<\/ul>\n\n\n\n
            \n
          1. The Operator reserves the right to refuse registration or suspend an account without stating reasons.<\/li>\n\n\n\n
          2. The Partner is obliged to update their registration data in case of any changes.<\/li>\n<\/ol>\n\n\n\n

            \u00a73. Placing and Confirming Orders<\/strong><\/p>\n\n\n\n

              \n
            1. Orders are placed through the Shop’s electronic system after the Partner logs in.<\/li>\n\n\n\n
            2. Placing an order requires:<\/li>\n<\/ol>\n\n\n\n
                \n
              • Adding products to the cart<\/li>\n\n\n\n
              • Selecting a delivery method<\/li>\n\n\n\n
              • Confirming the order with the “Place Order” button<\/li>\n<\/ul>\n\n\n\n
                  \n
                1. Placing an order constitutes an offer to enter into a sales contract in accordance with the Civil Code.<\/li>\n\n\n\n
                2. The Operator confirms receipt of the order by sending a confirmation to the Partner’s e-mail address within 2 business days.<\/li>\n\n\n\n
                3. The sales contract is concluded upon the Partner’s receipt of the order confirmation.<\/li>\n<\/ol>\n\n\n\n

                  \u00a74. Payment Terms<\/strong><\/p>\n\n\n\n

                    \n
                  1. Product prices in the Shop are quoted in EUR excluding VAT.<\/li>\n\n\n\n
                  2. Available payment methods:<\/li>\n<\/ol>\n\n\n\n
                      \n
                    • Bank transfer (payment term as per agreement)<\/li>\n\n\n\n
                    • Cash on delivery (with Operator’s consent)<\/li>\n<\/ul>\n\n\n\n
                        \n
                      1. In case of payment delay, the Operator has the right to:<\/li>\n<\/ol>\n\n\n\n
                          \n
                        • Charge statutory interest for late payment<\/li>\n\n\n\n
                        • Suspend fulfillment of current and future orders<\/li>\n\n\n\n
                        • Terminate the cooperation agreement<\/li>\n<\/ul>\n\n\n\n

                          \u00a75. Delivery Costs and Terms<\/strong><\/p>\n\n\n\n

                            \n
                          1. Delivery is carried out in Belgium and the Netherlands.<\/li>\n\n\n\n
                          2. Delivery terms are defined in accordance with Incoterms\u00ae 2020:<\/li>\n<\/ol>\n\n\n\n
                              \n
                            • EXW (Ex Works) – collection from Operator’s warehouse<\/li>\n\n\n\n
                            • FCA (Free Carrier) – delivery to carrier<\/li>\n\n\n\n
                            • DDP (Delivered Duty Paid) – delivery with customs clearance (if applicable)<\/li>\n<\/ul>\n\n\n\n
                                \n
                              1. Standard delivery time is 5-10 business days from order confirmation (if goods are in stock).<\/li>\n\n\n\n
                              2. Delivery costs depend on the weight, dimensions of the shipment, and recipient’s location.<\/li>\n\n\n\n
                              3. The risk of loss or damage to goods passes to the Partner according to the selected Incoterms condition.<\/li>\n<\/ol>\n\n\n\n

                                \u00a76. Complaints and Returns<\/strong><\/p>\n\n\n\n

                                  \n
                                1. The Partner is obliged to inspect the shipment upon receipt and report any damage to the carrier and the Operator within 24 hours.<\/li>\n\n\n\n
                                2. Complaints regarding quality defects should be submitted in writing (e-mail) within 7 days from the date of receipt of goods.<\/li>\n\n\n\n
                                3. A complaint should include:<\/li>\n<\/ol>\n\n\n\n
                                    \n
                                  • Order and invoice number<\/li>\n\n\n\n
                                  • Detailed description of the defect<\/li>\n\n\n\n
                                  • Photographic documentation<\/li>\n<\/ul>\n\n\n\n
                                      \n
                                    1. The Operator will consider the complaint within 14 business days from its receipt.<\/li>\n\n\n\n
                                    2. Return of goods requires prior consent from the Operator. Products should be returned in original packaging.<\/li>\n<\/ol>\n\n\n\n

                                      \u00a77. Retention of Title<\/strong><\/p>\n\n\n\n

                                        \n
                                      1. Ownership of goods remains with the Operator until full payment of the price by the Partner.<\/li>\n\n\n\n
                                      2. Until ownership passes, the Partner has no right to:<\/li>\n<\/ol>\n\n\n\n
                                          \n
                                        • Resell goods to third parties without written consent of the Operator<\/li>\n\n\n\n
                                        • Pledge or encumber goods in any way<\/li>\n<\/ul>\n\n\n\n

                                          \u00a78. Governing Law and Jurisdiction<\/strong><\/p>\n\n\n\n

                                            \n
                                          1. These Terms and Conditions and all contracts concluded within the Shop are governed by Belgian law.<\/li>\n\n\n\n
                                          2. All disputes shall be resolved by competent courts in Belgium, unless otherwise provided by law.<\/li>\n\n\n\n
                                          3. For cross-border transactions (Belgium-Netherlands), the United Nations Convention on Contracts for the International Sale of Goods (CISG) applies.<\/li>\n<\/ol>\n\n\n\n

                                            \u00a79. Final Provisions<\/strong><\/p>\n\n\n\n

                                              \n
                                            1. The Operator reserves the right to amend these Terms and Conditions. Changes take effect 14 days after their publication in the Shop.<\/li>\n\n\n\n
                                            2. In matters not regulated by these Terms and Conditions, Belgian law applies, in particular the Civil Code and Economic Code.<\/li>\n<\/ol>\n\n\n\n
